solved.. just obtained kmod driver from elpo repository and installed ..now working perfectly.. thanks centos mailing list..

Did you mean that you obtained the kmod package from the Extra Packages for Enterprise Linux (EPEL) repository? (I searched Google for a "elpo repository" and came up empty.)

If so, which EPEL package did you install? I'm not finding one for the NVIDIA forcedeth kernel module:
